Exclusive
Terms Agreed Upon Engagement
Upon receipt of this Agreement, an agreement as detailed below between StorkFi (Trading as Mrs Carters LTD) and the recipient/s that StorkFi will source, recruit, review, and present potential employees.
Placement Fee:
Our fee is 16% of the annualised yearly salary, including guaranteed bonuses but excluding all other cash benefits, bonuses, housing, guaranteed/projected commission, and allowances. We see a relationship with you as a great opportunity and are looking forward to providing you with the exemplary quality and service that is our hallmark.
There are no initial charges for our service. Charges are incurred when the Company extends an offer of employment to a referred candidate and the candidate accepts and reports to work.
The Company will be invoiced upon the employee’s acceptance to be paid before or on the candidate/s the first day of employment. If the candidate works for the Company as a consultant or advisor prior to being hired as an employee, terms will be covered by this agreement.
Guarantee:
Our screening process is intensive, but in rare cases, there can be problems. StorkFi will guarantee that if the employee is terminated within 45 days from the date of the hire, other than because of a layoff, reduction in workforce, change in corporate ownership or breach of the employment agreement conditions, change in location or job content. StorkFi will provide a replacement candidate at no additional charge. In addition, within the 45-day guarantee period, should our candidate violate your employment agreement and rules of conduct, in or outside of the workplace, then StorkFi will provide a replacement candidate at no additional charge.
The invoice is to be paid on or before the candidate/s 1st day.
0 - 45 days a free replacement will be offered or a 50% refund.
A minimum of £5,000 fee is to be paid for any placement.
Payment:
StorkFi invoices shall be due and payable immediately. Invoices must be paid within 3 days of issue to ensure terms, including a guarantee. Invoices not paid when due bear interest from the invoice date until paid at a rate of 3% per month or the maximum rate permitted by applicable law, whichever is less.
A delayed payment can be made If clearly agreed upon once adequate funding has been received.
If any payment due is collected at law or through an attorney-at-law, or under advice therefrom, or through a collection agency, Company agrees to pay all costs of collection, including, without limitation, all court costs, and reasonable attorneys’ fees.
Enticement of Recruits:
During the term of this Agreement and for a period of 18 months thereafter, Company will not, directly, or indirectly, solicit for employment any candidate of StorkFi or any affiliate of StorkFi without being liable for the standard recruiting fees.
Should StorkFi be a procuring cause of any candidate hired by the Company, in addition to the traditional resume submittal, the standard recruiting fees shall be applied as well.
Cooperation:
Company agrees to cooperate fully with StorkFi's performance of services pursuant to this Agreement by interviewing recruits promptly, providing prompt feedback to Storkfi regarding recruit interviews and providing timely and precise requirements. A placement fee is required for any amount of engagement past the interview process regardless of whether the candidate is being paid or unpaid.
Recruiting Services Agreement In the event of a breach of this agreement by either party, the party responsible for the breach shall be liable for the cost of litigation, including but not limited to reasonable attorneys’ fees incurred by the other party in initiating litigation to enforce the same. Any information disclosed to Company regarding referred candidates is confidential and the property of Storkfi. The company agrees not to forward a referred candidate or candidate documents to any third party.
Standard of Care:
StorkFi will perform services under this Agreement in a professional manner in accordance with Company’s instructions. Company will be wholly responsible for its decisions and StorkFi will have no responsibility or liability for the quality, performance, malfeasance or wrongdoing of any candidate referred to the Company by Storkfi.
Limitation of Liability:
In no event shall StorkFi be liable to Company, whether in contract or in tort or under any other legal theory, for lost profits or revenues, loss of use, or similar economic loss, or for any indirect, special, incidental, consequential or similar damages, arising out of or in connection with the performance or non-performance of this Agreement, or for any claim made against Company by any other party, even if StorkFi has been advised of the possibility of such claim. In no event shall StorkFi be liable under any claim made by the Company to exceed the total amount of fees theretofore paid by the Company to StorkFi under this Agreement.
This agreement shall be governed by and construed and enforced in accordance with local and international laws.
Non-Exclusive
